Terms of Service

These Terms of Service (“Terms”) govern your access to and use of BePluggedIn, the members-only private market information platform available at bepluggedin.com (the “Service”), operated by Fern Labs (“we”, “us”). By creating an account or using the Service you agree to these Terms.

1. What the Service is (and is not)

BePluggedIn aggregates indications of interest in private-company secondary markets — offers, bids, closed trades, and ROFR activity — sourced from broker emails that members forward to the platform, alongside company financing data licensed from institutional data providers.

BePluggedIn is an information-sharing platform only. We are not a broker-dealer, investment adviser, exchange, marketplace, or alternative trading system. Nothing on the Service is an offer, solicitation, or recommendation to buy or sell any security. Indications shown on the Service are unverified third-party signals, may be inaccurate or stale, and must not be relied on as pricing, valuation, or investment advice. You are solely responsible for your own investment decisions and for complying with the securities laws applicable to you.

2. Eligibility and accounts

The Service is intended for professional participants in private markets who are at least 18 years old. Accounts are personal to you. Sign-in uses one-time codes sent to your email address; you are responsible for maintaining control of that email account. New registrations may be placed on a waitlist and require approval by an administrator, and we may approve, refuse, suspend, or revoke access at our discretion.

3. Member contributions

Members may forward broker emails to a personal contribution inbox or a shared desk address. By forwarding content you represent that you have the right to share it with us, and you grant us a non-exclusive, worldwide, royalty-free license to store, process, extract, review, and display the market signals it contains as part of the Service. Contributions are published without contributor attribution; your identity as a contributor is not shown to other members. Submissions pass through editorial review before publication, and we may decline or remove any content.

4. Acceptable use

You agree not to:

• redistribute, resell, scrape, or systematically extract data from the Service;
• submit content you do not have the right to share, or content that is false or misleading;
• use the Service to manipulate, or create a misleading appearance of, any market;
• attempt to identify anonymous contributors or circumvent access controls;
• interfere with the operation or security of the Service.

5. Intellectual property

The Service, including its software, design, and the compilation of data it presents, is owned by Fern Labs or its licensors. Company financing data is licensed from third-party data providers and may be used only within the Service. We grant you a limited, revocable, non-transferable license to use the Service for your internal, non-commercial informational purposes.

6. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ACCURACY, COMPLETENESS, TIMELINESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT VERIFY THE INDICATIONS SUBMITTED BY MEMBERS OR THE DATA SUPPLIED BY PROVIDERS.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FERN LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR INVESTMENT LOSSES, ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED US DOLLARS (USD $100).

8. Indemnification

You agree to indemnify and hold harmless Fern Labs from claims arising out of your contributions, your use of the Service, or your breach of these Terms.

9. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, including for breach of these Terms. Sections 3 and 5 through 11 survive termination.

10. Changes

We may update these Terms from time to time. Material changes will be reflected by updating the effective date above, and continued use of the Service after a change constitutes acceptance.

11. Governing law and contact
